ENTERTAINMENT AND GAMING PLATFORM NOTICE
THIS PLATFORM IS PROVIDED FOR ENTERTAINMENT AND COMPETITIVE GAMING PURPOSES. GRAND ARENA IS A SKILL-BASED DAILY FANTASY PLATFORM UTILIZING AI-DRIVEN NFT AGENTS. PARTICIPATION IN CONTESTS INVOLVES RISK, INCLUDING THE POTENTIAL LOSS OF ENTRY FEES AND DIGITAL ASSETS. USERS SHOULD NEVER COMMIT FUNDS THEY CANNOT AFFORD TO LOSE.
PARTICIPATING IN CONTESTS, TRADING CARDS, OR OTHERWISE USING THE PLATFORM CAN RESULT IN:
- LOSS OF ENTRY FEES AND DIGITAL ASSETS
- FLUCTUATION IN VALUE OF CARDS AND OTHER DIGITAL ASSETS
- IRREVERSIBLE BLOCKCHAIN TRANSACTIONS
- INABILITY TO WITHDRAW OR TRANSFER DIGITAL ASSETS DUE TO NETWORK CONDITIONS
THIS PLATFORM DOES NOT:
- Provide financial or investment advice
- Guarantee contest winnings or returns on Card purchases
- Ensure the future value of any Card or Digital Asset
- Operate as a gambling, betting, or wagering service
REGULATORY NOTICE
Cards and other Digital Assets available on the Platform are blockchain-based digital items designed solely for use within the Grand Arena ecosystem. Cards do not and shall not confer upon Users any rights, utility, functions, or attributes outside of the Platform. This includes, but is not limited to, any economic, legal, or voting rights, or expectations of future value or transferability beyond the Platform.
Cards are intended exclusively for entertainment, collection, and in-game use, and should not be construed as financial instruments, securities, or other regulated products under applicable laws. These Terms are designed with consideration of guidance from the U.S. Securities and Exchange Commission (SEC) regarding the Howey Test and treatment of digital assets, the UK Financial Conduct Authority (FCA) regarding utility tokens and unregulated cryptoassets, and the European Securities and Markets Authority (ESMA) and the Markets in Crypto-Assets Regulation (MiCA) governing the classification of crypto-assets in the EU. Degenku reserves the right to amend these Terms in response to changes in applicable regulations or the legal interpretation of digital assets across these or other jurisdictions.
In the United States, Cards are not registered under the Securities Act of 1933, and Degenku makes no assertion that they qualify for any exemption. In the United Kingdom and European Union, Cards are not offered as financial instruments, e-money, or crypto-assets regulated under the UK Financial Services and Markets Act 2000, the EU Markets in Crypto-Assets (MiCA) Regulation, or equivalent frameworks. For other jurisdictions, Users should refer to local counsel to assess whether Cards require registration or disclosure with local government authorities.
ACCEPTANCE OF TERMS
These Terms of Service (these "Terms") govern your ("User", "you", or "your") use of the Grand Arena platform (the "Platform") provided by Degenku ("Degenku", "we", "our", or "us"). Degenku and User may be referred to herein collectively as the "Parties" or individually as a "Party."
BY ACCESSING THE PLATFORM AND USING THE SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THESE TERMS IN THEIR ENTIRETY. YOU IRREVOCABLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR SIMILAR MASS ACTION IN ANY JURISDICTION AS STATED IN SECTION 19. YOU ALSO EXPRESSLY AGREE THAT ANY CLAIMS AGAINST DEGENKU OR ITS AFFILIATES WILL BE SUBJECT TO MANDATORY, BINDING ARBITRATION AS STATED IN SECTION 18.
IF YOU DO NOT UNDERSTAND AND ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU SHOULD NOT USE THE PLATFORM.
1. Platform Overview
1.1 Description of Services
Grand Arena is an AI-driven daily fantasy competition platform built on the Ronin blockchain. The Platform provides the following services (collectively, the "Services"):
1. Daily Fantasy Contests: Skill-based competitive contests in which Users enter Cards representing NFT Agents to compete against other Users. Contests may require entry fees paid in supported Digital Assets and award prizes from Prize Pools.
2. Free-to-Play Contests: Competitive contests that do not require entry fees, which may or may not offer prizes at the Platform's discretion.
3. Card Marketplace: A marketplace enabling Users to buy, sell, and trade Cards — unique Digital Assets minted on the Ronin blockchain that represent AI-trained NFT Agents whose performance characteristics are shaped by reinforcement learning.
4. Agent Management: Tools and interfaces for Users to manage, configure, and interact with the NFT Agents represented by their Cards.
5. Additional Services: Any other features, tools, or offerings made available through the Platform from time to time.
1.2 Cards and NFT Agents
1. Cards are non-fungible tokens minted on the Ronin blockchain. Each Card represents an NFT Agent — an AI-trained game agent with unique performance characteristics developed through reinforcement learning. Cards are the Digital Assets that Users collect, trade, and enter into Contests.
2. NFT Agents are the underlying AI entities whose performance is determined by reinforcement learning models. NFT Agents exist as distinct on-chain assets, separate from Cards. Users may own NFT Agents directly, independent of Card ownership. While Cards serve as the primary interface for entering Agents into Contests and accessing certain Platform features, NFT Agents and Cards are separate Digital Assets with independent ownership and transferability.
3. A Card grants the holder the right to enter the represented NFT Agent into Contests, trade or sell the Card on the Marketplace, and access associated Platform features. Ownership of a Card does not grant any ownership interest in the Platform, its intellectual property, or the underlying AI models and training systems.
4. Cards are digital collectibles with utility on the Platform. They are not securities, financial instruments, or investment contracts. The purchase of a Card does not entitle the buyer to any ownership, equity, or debt claim against Degenku or its affiliates, any rights to company revenues, profits, intellectual property, or decision-making processes, any participation in governance, voting, or liquidation procedures, or any claim against other digital or physical assets developed by Degenku. We make no representations regarding the current or future monetary value of any Card.
1.3 Nature of Contests
Grand Arena contests are skill-based competitions. Contest outcomes are determined by the strategic decisions of Users in selecting, configuring, and entering Cards, combined with the performance characteristics of the NFT Agents those Cards represent. Users acknowledge that:
1. Contest results depend on the skill and strategy of participating Users and the trained performance attributes of their NFT Agents.
2. The Platform does not guarantee any particular contest outcome, ranking, or prize award.
3. Past performance of an NFT Agent does not guarantee future results.
4. The Platform is not a gambling, betting, or wagering service. The company is not licensed or regulated under any governmental organisation or jurisdictional entity as a gambling operator, and the Services do not constitute gambling under any applicable law of the jurisdictions where the Platform is available at the time of publication of these Terms. Contests are structured as skill-based competitions.
1.4 Disclaimer of Relationship
We are not your broker, agent, financial advisor, or fiduciary. We provide no investment, financial, legal, or tax advice. No communication or information provided through the Platform should be construed as advice of any kind. Any decision to participate in Contests, acquire Cards, or otherwise use the Platform is made solely at your own discretion and risk.
2. Eligibility and Access
2.1 Eligibility Requirements
To use the Platform and Services, you must:
1. Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater.
2. Have full legal power, authority, and capacity to accept these Terms and to enter into binding agreements.
3. Not be located in, incorporated in, or a resident of any Prohibited Jurisdiction (as defined in Section 2.2).
4. Not be subject to any economic sanctions, trade restrictions, or designated on any prohibited or restricted party list maintained by any applicable government authority.
5. Not have been previously suspended, removed, or banned from the Platform, and not have engaged in abusive, fraudulent, manipulative, or otherwise harmful conduct on the Platform or any related service operated by Degenku.
6. Comply with all applicable laws, regulations, and rules in your jurisdiction, including any laws governing daily fantasy competitions, digital assets, and blockchain-based services.
7. If acting on behalf of a legal entity, be duly authorized to bind such entity to these Terms.
8. Employees, affiliates, contractors, directors, officers, and immediate family members (spouse, parents, siblings, and children) and/or those living in the same household of each such person of Degenku may be restricted from participating in certain Platform functionalities.
2.2 Prohibited Jurisdictions
You may not access or use the Platform if you are located in, incorporated in, or a resident of:
1. Any jurisdiction where access to or use of the Platform or Services would be illegal under applicable law.
2. Cuba, Iran, North Korea, Syria, Russia, or the Crimea, Donetsk, and Luhansk regions of Ukraine.
3. Any country or territory subject to comprehensive sanctions by the United States, United Kingdom, European Union, or United Nations.
4. Any jurisdiction where daily fantasy contests, NFT trading, or Digital Asset transactions are prohibited or require licenses that the Platform does not hold.
2.3 Jurisdictional Compliance for Contests
You are solely responsible for determining whether your participation in paid Contests is lawful in your jurisdiction. Daily fantasy competition laws vary by jurisdiction, and certain jurisdictions may prohibit or restrict participation in contests involving entry fees and prizes. The availability of the Platform in your jurisdiction does not constitute a representation that your use of the Services is lawful.
2.4 Account and Wallet Requirements
1. To access certain Services, you must connect a compatible blockchain wallet to the Platform. You are solely responsible for the security and management of your wallet, including all private keys, seed phrases, and access credentials. Degenku does not have access to, custody of, or the ability to execute transactions on behalf of your wallet. All transactions initiated through the Platform require your independent authorization via your wallet.
2. You must provide accurate and complete information in connection with your use of the Platform and promptly update any information that changes.
3. You are responsible for all activity conducted through your connected wallet on the Platform, whether or not authorized by you.
4. Each individual may maintain only one account, and each account may only belong to one individual. Account multiplicity or sharing is prohibited and may lead to closure of all accounts linked to the infringing individual(s) at Degenku's discretion.
5. You must promptly report any unauthorized access or security breach to us.
2.5 User Knowledge and Risks
By using the Platform, you represent that you have sufficient knowledge and experience in business and financial matters, including a sufficient understanding of blockchain technology, cryptographic tokens, digital assets, smart contracts, and storage mechanisms (such as digital wallets), to be able to evaluate the risks and merits of participating in Contests, acquiring Cards, and using the Services. You confirm that you have obtained sufficient information to make an informed decision to use the Platform.
3. Contests and Competition
3.1 Contest Structure
1. The Platform offers daily fantasy contests in various formats, including but not limited to head-to-head matchups, multi-user tournaments, and league-style competitions. Contest formats, rules, entry requirements, and prize structures will be specified for each individual contest.
2. We reserve the right to create, modify, cancel, or discontinue any contest format at any time and for any reason, at our sole discretion.
3. By entering a Contest, you agree to be bound by the specific rules and parameters of that Contest as displayed on the Platform at the time of entry.
4. Your participation in certain Contest functionalities may be subject to additional terms, which will be presented to you for acceptance before you are able to access the functionality. In case of conflict between these Terms and such additional terms, the additional terms shall prevail.
3.2 Entry Fees
1. Certain Contests require payment of an entry fee in supported Digital Assets on the Ronin blockchain. Entry fees will be clearly displayed prior to entry.
2. By submitting an entry, you authorize us to deduct the applicable entry fee from your connected wallet. Entry fee transactions are processed on the Ronin blockchain and are irreversible once confirmed.
3. Entry fees are non-refundable except where: (i) a Contest is cancelled by the Platform prior to commencement; or (ii) refund is required by applicable law.
4. We reserve the right to modify entry fee amounts for future Contests at any time.
3.3 Free-to-Play Contests
1. The Platform may offer Contests that do not require an entry fee. Free-to-Play Contests may or may not award prizes at the Platform's discretion.
2. Free-to-Play Contests are subject to the same rules of conduct, eligibility requirements, and Terms as paid Contests unless otherwise specified.
3.4 Prize Pools and Payouts
1. Prize Pools for paid Contests are funded by entry fees collected from participating Users, less applicable Platform fees (the "Rake"). The Rake percentage will be disclosed to Users prior to Contest entry.
2. Prize distribution structures will be specified for each Contest prior to entry. Prizes are awarded based on final Contest standings as determined by the Platform.
3. Prize payouts will be distributed in Digital Assets to the winning Users' connected wallets. Payout timing may vary based on blockchain network conditions, verification processes, and other factors.
4. The Platform reserves the right to withhold, delay, or reverse prize payouts if it reasonably suspects fraud, collusion, multi-accounting, or any violation of these Terms.
5. In the event of a tie, prizes will be split equally among tied participants unless the Contest rules specify otherwise.
6. We do not guarantee the fiat-equivalent value of any prize at the time of receipt or thereafter.
7. Any taxes or fees related to prizes and rewards are the sole responsibility of the User. Users must meet any verification requirements before receiving rewards.
3.5 Contest Integrity and Fair Play
1. The Platform employs measures to detect and prevent fraud, collusion, multi-accounting, scripting, and other forms of unfair play. You agree to cooperate with any investigation related to Contest integrity.
2. You shall not, directly or indirectly:
3. Enter the same Contest using multiple wallets or accounts;
4. Collude with other Users to manipulate Contest outcomes;
5. Use any automated system, bot, script, or exploit (other than those expressly permitted by the Platform) to gain an unfair advantage in Contests;
6. Engage in any form of match-fixing or result manipulation;
7. Share non-public Contest information with other participants for the purpose of gaining a competitive advantage.
8. You agree not to access, interact with, or use the Platform through any automated means, including but not limited to bots, scripts, scrapers, crawlers, or automated trading systems, unless expressly authorized in writing by us. You must not develop, deploy, or use any software, device, or process that interacts with the Platform in a manner that mimics or automates human activity, manipulates gameplay or trading, or provides you with an unfair advantage over other Users.
9. Decisions made by Degenku regarding rule enforcement are final and binding.
10. Violation of Contest integrity rules may result in forfeiture of prizes, suspension or termination of access, and disgorgement of prior winnings, in addition to any other remedies available to the Platform.
3.6 Contest Results and Disputes
1. Contest results as determined by the Platform are final and binding. The Platform's scoring system, powered by the AI and reinforcement learning engine, determines NFT Agent performance and Contest outcomes.
2. We will make reasonable efforts to ensure the accuracy of Contest results. In the event of a scoring error, technical malfunction, or other issue materially affecting Contest outcomes, the Platform reserves the right to correct results, void affected Contests, or take other appropriate remedial action at its sole discretion.
3. Any dispute regarding Contest results must be submitted to the Platform within seventy-two (72) hours of the Contest's conclusion. The Platform will review disputes in good faith but its determination shall be final.
4. Cards and the Marketplace
4.1 Nature of Cards
1. Cards are non-fungible tokens minted on the Ronin blockchain. Each Card represents an NFT Agent and carries associated metadata reflecting the Agent's attributes, training history, and performance characteristics.
2. Cards are digital collectibles with utility on the Platform. The purchase of a Card is strictly limited to the acquisition of the specified Digital Asset for personal and in-platform use and shall not be interpreted as a financial investment or speculative instrument.
3. Cards do not represent, reference, or correspond to any real-life individual, including professional athletes, coaches, or public figures, whether living or deceased, unless explicitly stated and licensed. Any resemblance to actual persons, living or dead, is purely coincidental.
4.2 Minting and Creation
1. The Platform may from time to time offer minting events, drops, or other opportunities for Users to mint new Cards. The terms, pricing, and availability of such events will be specified at the time of offering.
2. Minting transactions are irreversible. The Platform does not guarantee the attributes, rarity, or performance characteristics of any Card or its represented NFT Agent prior to minting.
3. All proceeds generated from the sale or minting of Cards shall be used by Degenku at its sole and absolute discretion. Users understand and agree that Degenku has no obligation to allocate these proceeds toward any specific project, initiative, or development roadmap, and that such funds are not held in trust or segregated for the benefit of Users.
4.3 NFT Agent Performance
1. NFT Agent performance in Contests is determined by the Agent's trained attributes and the contest environment. Performance may vary across different contest types, opponent matchups, and platform updates.
2. We reserve the right to update, rebalance, modify, or retrain the AI models and reinforcement learning systems underlying NFT Agent performance at any time to maintain competitive balance, fix bugs, or improve the Platform. Such changes may positively or negatively affect the performance of individual NFT Agents and, consequently, the utility and perceived value of Cards representing those Agents.
3. We do not guarantee that any NFT Agent will perform at any particular level in any Contest, regardless of past performance or training data.
4.4 Card Marketplace
1. The Platform provides a Marketplace where Users may list, buy, sell, and trade Cards with other Users. All Marketplace transactions are executed on the Ronin blockchain.
2. Marketplace transactions are peer-to-peer. The Platform facilitates transactions through smart contracts but does not act as a party to any sale or trade between Users.
3. Marketplace fees, including any commission or royalty charged by the Platform on secondary sales, will be disclosed on the Platform and deducted automatically at the time of transaction.
4. All Marketplace transactions are final and irreversible once confirmed on the blockchain. The Platform is not responsible for transaction errors, incorrect pricing, or unintended transfers resulting from User error.
5. You are solely responsible for evaluating any Card before purchase. The Platform does not warrant or guarantee the performance, utility, value, or authenticity of any Card listed on the Marketplace, except that it was minted through the Platform's systems.
4.5 No Representations or Warranties on Cards
Degenku expressly disclaims all warranties, express or implied, regarding Cards, including but not limited to:
1. Title and Ownership: No assurance is made regarding the legality or enforceability of ownership over Digital Assets beyond what is recorded on the Ronin blockchain.
2. Merchantability or Fitness for a Particular Purpose: Degenku makes no claims as to the utility, functionality, or suitability of Cards for any purpose, including potential resale or usage beyond the Platform.
3. Continued Access or Support: Degenku does not guarantee uninterrupted access to the Platform or ongoing support for Cards.
4. Value: Degenku makes no representations that any Card will retain any market value or in-game functionality. Users may lose some or all of the amount paid for Cards.
5. Digital Assets and Wallets
5.1 Supported Digital Assets
The Platform operates on the Ronin blockchain and supports Digital Assets native to or compatible with the Ronin network. The Platform may add or remove support for specific Digital Assets at any time.
5.2 Wallet Responsibility and Private Key Management
1. You are solely responsible for the security, management, and backup of your blockchain wallet, including all private keys, seed phrases, and access credentials ("Wallet Credentials"). This is consistent with the decentralized and self-custodial nature of blockchain systems.
2. The Platform does not hold, custody, or control your Digital Assets or wallet. We cannot recover lost or stolen assets, reverse transactions, or restore wallet access.
3. Failure to maintain the integrity and confidentiality of Wallet Credentials may result in permanent loss of access to associated Cards and Digital Assets. Degenku has no ability to recover, reset, reissue, or otherwise restore access to any Card or Digital Asset lost due to User error, compromised credentials, misrouted transactions, or damage to or loss of storage devices.
4. If your wallet is provided by a third-party service (such as Ronin Wallet or any other provider), you acknowledge that such service is independent of the Platform, and you are responsible for reviewing and complying with its terms of service.
5. You must provide a valid, accurate, and compatible wallet address for all transactions. Degenku disclaims any liability for failure of delivery resulting from erroneous wallet addresses, wallet incompatibility, or third-party service errors.
5.3 Transaction Risks
1. All blockchain transactions are irreversible once confirmed. You are responsible for verifying all transaction details before submission.
2. Network congestion, gas fee fluctuations, smart contract execution conditions, and other factors may affect transaction timing, cost, and success. The Platform is not responsible for failed, delayed, or costly transactions caused by blockchain network conditions.
3. Digital Asset values are inherently volatile. The Platform makes no representations or warranties regarding the value of any Digital Asset, including RON, WETH, or any Card.
6. Fees
6.1 Platform Fees
The following fees may apply to your use of the Platform:
1. Contest Entry Fees: As specified for each Contest.
2. Rake: A percentage of Contest Prize Pools retained by the Platform, as disclosed prior to Contest entry.
3. Marketplace Fees: Commissions or royalties on Card sales and trades, as displayed on the Platform.
4. Minting Fees: Fees associated with Card minting events, as specified at the time of offering.
5. Card Pack Fees: Fees for the purchase of Card Packs, which contain one or more randomly assigned Cards. Card Pack pricing and contents will be specified at the time of offering.
6. In-Game Item Fees: Fees for the purchase of consumable in-game items, including but not limited to snacks, boosts, and other gameplay-related items. Pricing will be displayed on the Platform prior to purchase.
7. Network Fees: Blockchain transaction fees (gas fees) are charged by the Ronin network and are separate from Platform fees. The Platform does not control or receive network fees.
6.2 Fee Disclosure and Modifications
1. All applicable fees will be displayed to you prior to any transaction.
2. We reserve the right to modify fee amounts and structures at any time. Changes will be reflected on the Platform and take effect for transactions initiated after the change.
3. Your continued use of the Platform after a fee change constitutes acceptance of the updated fees.
6.3 No Refunds
All fees, once paid or incurred, are final and non-refundable except where: (i) a Contest is cancelled by the Platform prior to commencement; (ii) required by applicable law; or (iii) expressly stated otherwise in connection with a specific promotion or event. Cards are non-refundable. This includes, but is not limited to, failed transactions, gas fees, deployment fees, minting fees, marketplace fees, and any associated expenses.
7. User Conduct and Prohibited Activities
7.1 General Obligations
When using the Platform, you must:
1. Comply with all applicable laws, regulations, and these Terms at all times.
2. Act in good faith and with integrity in all Contests and Marketplace transactions.
3. Maintain the security of your wallet and account credentials.
4. Report any bugs, exploits, or vulnerabilities you discover to the Platform rather than exploiting them.
7.2 Prohibited Activities
You may not, under any circumstances:
1. Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
2. Engage in fraud, collusion, multi-accounting, or any activity designed to manipulate Contest outcomes or Marketplace prices.
3. Use bots, scripts, automated tools, or other software to interact with the Platform in unauthorized ways, including but not limited to automated Contest entry, sniping, or Marketplace manipulation.
4. Exploit any bug, glitch, vulnerability, or unintended feature of the Platform, smart contracts, or NFT Agents for personal advantage.
5. Engage in wash trading, artificial price manipulation, pump and dump schemes, or any deceptive trading practices on the Marketplace.
6. Post, upload, or transmit any content that is abusive, defamatory, harassing, threatening, obscene, or that promotes hate, violence, or discrimination.
7. Impersonate any person, entity, or Platform representative.
8. Attempt to reverse-engineer, decompile, disassemble, or otherwise extract the source code, AI models, training data, or reinforcement learning systems of the Platform.
9. Interfere with or disrupt the Platform, servers, networks, or smart contracts, including through denial-of-service attacks, malware, or unauthorized access attempts.
10. Use the Platform to launder money, finance terrorism, evade sanctions, or engage in any other financial crime.
11. Create or purport to create any security interest, lien, or encumbrance over Cards or other Digital Assets on the Platform.
12. Access or attempt to access the Platform from any Prohibited Jurisdiction.
13. Circumvent any access controls, geographic restrictions, or security measures implemented by the Platform.
14. Use the Platform to list, sell, or distribute assets that are considered financial instruments or securities, or that give ICO participation rights, or that entitle owners to financial rewards outside the Platform.
7.3 Prohibited Content
The Platform strictly prohibits any content, communications, or behavior that promotes hate, violence, or discrimination. Users are expressly forbidden from creating, sharing, or promoting content that contains racial, ethnic, or religious slurs, content promoting supremacy of any kind, discriminatory language targeting any protected class, content promoting or glorifying violence or extremism, threats against individuals or groups, or hate symbols or coded hate references. The Platform maintains zero tolerance for such content and may immediately remove violating content, permanently ban offending Users, and report serious violations to law enforcement.
7.4 Consequences of Violations
Violation of these Terms may result in, at our sole discretion:
1. Temporary or permanent suspension of access to the Platform and Services.
2. Forfeiture of Contest entries, prizes, and Cards.
3. Disgorgement of prior winnings or ill-gotten gains.
4. Reporting to relevant law enforcement or regulatory authorities.
5. Pursuit of legal remedies, including claims for damages.
8. Intellectual Property
8.1 Platform Intellectual Property
The Platform and all of its content, features, functionality, AI models, reinforcement learning systems, smart contracts, source code, interface designs, graphics, trademarks, and documentation (collectively, "Platform IP") are owned by Degenku and its affiliates and are protected by applicable intellectual property laws. Users obtain no rights to Platform IP except as expressly granted under these Terms.
8.2 Limited License
We grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Platform for personal, non-commercial use in accordance with these Terms. This license terminates automatically upon termination or suspension of your access.
8.3 Card IP
1. Ownership of a Card grants you a limited, personal, non-commercial license to display, use, and trade that Card within the Platform ecosystem.
2. You do not acquire any rights to the underlying AI models, training systems, algorithms, or reinforcement learning frameworks associated with any NFT Agent represented by a Card.
3. Degenku retains all rights in the visual designs, artwork, and branding elements associated with Cards, subject to any specific licenses granted at the time of minting or purchase.
8.4 User Content
1. You retain ownership of any original content you create and submit to the Platform ("User Content"), excluding content generated by Platform systems.
2. By submitting User Content, you grant Degenku a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, distribute, and create derivative works of your User Content in connection with the Platform, its promotion, and related services.
3. You represent and warrant that you own or have all necessary rights and permissions to submit any User Content and to grant the license in this Section.
4. Degenku reserves the right to remove any User-generated content (including but not limited to usernames, avatars, or messages) that violates these Terms, is offensive, illegal under applicable laws, or infringes upon the rights of others.
8.5 Restrictions
You agree not to:
1. Reverse-engineer, decompile, or disassemble any aspect of the Platform.
2. Copy, reproduce, or distribute Platform IP without express written consent.
3. Use Platform trademarks, logos, or branding without express written consent.
4. Extract, scrape, or harvest data from the Platform by automated means.
5. The restrictions in this Section include data generated by other Users, including but not limited to usernames, avatars, performance logs, in-chat conversations, and Card transaction history.
9. Privacy and Data
9.1 Data Collection
Our collection and use of personal data is governed by our Privacy Policy, available at our Privacy Policy. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.
9.2 Blockchain Data
You acknowledge that all blockchain transactions are publicly recorded and permanently visible on the Ronin blockchain. Transaction details including wallet addresses, transaction amounts, Card transfers, and smart contract interactions are publicly accessible and cannot be deleted or modified. The Platform has no control over public blockchain data.
9.3 Communications
1. We may contact you through channels associated with your account, including but not limited to on-platform notifications, email, Telegram, or X (formerly Twitter).
2. You agree that we may record any communications between you and the Platform for compliance, support, and quality purposes.
10. Platform Availability and Modifications
10.1 Availability
The Platform is provided on an "as available" basis. We do not guarantee continuous, uninterrupted, or error-free access to the Platform or any Services.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Platform or Services at any time, with or without notice, including but not limited to:
1. Adding, removing, or modifying Contest formats, rules, or features.
2. Updating, rebalancing, or retraining AI models and NFT Agent attributes.
3. Modifying Marketplace features, fees, or supported Digital Assets.
4. Performing scheduled or emergency maintenance.
5. Implementing security measures or responding to threats.
6. Updating smart contracts or changing supported blockchain networks.
10.3 Platform Evolution
The Platform is subject to ongoing development. As the Platform evolves, Cards and their associated NFT Agents may be enhanced, modified, or restructured, which could alter their function, availability, or relevance in gameplay.
10.4 No Liability for Modifications
We shall not be liable for any losses, damages, or inconvenience resulting from any modification, suspension, or discontinuation of the Platform or Services, except as required by applicable law.
11. Termination and Suspension
11.1 Termination by Us
We may terminate, suspend, or restrict your access to the Platform and Services at any time, with or without cause, including but not limited to where:
1. You breach or are suspected of breaching these Terms.
2. Your activity is suspected of being fraudulent, illegal, or harmful to the Platform or other Users.
3. We are required to do so by applicable law, regulation, or court order.
4. We determine, in our sole discretion, that continued access poses a risk to the Platform, its Users, or its integrity.
5. You are located in or access the Platform from a Prohibited Jurisdiction.
6. Information provided by you is found to be wrong, untruthful, outdated, or incomplete.
11.2 Effect of Suspension on Digital Assets
1. Suspension or termination of Platform access does not affect the ownership or custody of Cards or other Digital Assets held in your wallet. Because Degenku does not custody, control, or have transactional authority over your wallet, your Cards and Digital Assets remain in your wallet and under your sole control at all times, regardless of your Platform access status.
2. Upon suspension or termination, you will lose access to Platform features, including Contests, the Marketplace, and Agent management tools. You will not be able to enter Agents into Contests, list or purchase Cards on the Marketplace, or use other Platform Services.
3. Degenku will inform the User of the suspension by flagging the suspension within the Platform and, where possible, contacting the User through available communication channels.
4. Where applicable law or a court order requires restriction of Digital Asset activity, Degenku reserves the right to take any measures available at the smart contract or Platform level to comply with such requirements.
11.3 Effect of Termination
1. Upon termination, all licenses and rights granted to you under these Terms immediately cease.
2. Open Contest entries may be forfeited. The Platform is not obligated to refund entry fees for Contests in progress at the time of termination due to a breach of these Terms.
3. You may retain ownership of Cards and Digital Assets held in your wallet on the Ronin blockchain, but you will lose access to Platform features, Contests, and the Marketplace.
4. Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 8, 9, 13, 14, 15, 16, 17, 18, and 19.
11.4 Termination by You
You may cease using the Platform at any time. Discontinuation of use does not relieve you of obligations incurred prior to termination.
12. Disclaimers
12.1 No Warranty
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 No Guarantees
WE DO NOT WARRANT OR GUARANTEE THAT:
1. THE PLATFORM WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.
2. ANY NFT AGENT WILL PERFORM AT ANY PARTICULAR LEVEL.
3. CONTEST RESULTS WILL BE FREE FROM ERRORS OR TECHNICAL ISSUES.
4. ANY CARD OR DIGITAL ASSET WILL RETAIN ITS VALUE.
5. THE AI AND REINFORCEMENT LEARNING SYSTEMS WILL OPERATE AS EXPECTED IN ALL CIRCUMSTANCES.
6. SMART CONTRACTS WILL FUNCTION WITHOUT BUGS OR VULNERABILITIES.
13. Limitation of Liability
13.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEGENKU AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE "PLATFORM PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
1. LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS.
2. LOSS OF OR DAMAGE TO DIGITAL ASSETS, INCLUDING CARDS.
3. CONTEST LOSSES OR UNFAVORABLE OUTCOMES.
4. NFT AGENT PERFORMANCE CHANGES DUE TO PLATFORM UPDATES OR REBALANCING.
5. MARKETPLACE PRICE FLUCTUATIONS OR INABILITY TO SELL CARDS.
6. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR WALLET.
7. ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE PLATFORM.
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE PLATFORM PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Liability Cap
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PLATFORM PARTIES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).
13.3 Time Limitation
ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE THE CAUSE OF ACTION AROSE. CLAIMS BROUGHT AFTER THIS PERIOD ARE PERMANENTLY BARRED.
13.4 Essential Basis
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND CONSTITUTE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
14. Indemnification
14.1 Indemnification Obligation
You agree to indemnify, defend, and hold harmless the Platform Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
1. Your access to or use of the Platform and Services.
2. Your participation in Contests, including any disputes with other Users.
3. Your Card transactions on the Marketplace.
4. Your breach or alleged breach of these Terms.
5. Your violation of any applicable law, regulation, or third-party right (including intellectual property rights).
6. Any User Content you submit to the Platform.
7. Any tax liability arising from your use of the Platform.
14.2 Release
You irrevocably release the Platform Parties from any and all claims, demands, and damages arising directly or indirectly from any dispute you have with another User or third party in connection with the Platform or Services. Degenku is not responsible for your interactions with other Users nor for any claims, disputes, or liability incurred as the result of such interactions. However, we reserve the right, but have no obligation, to intercede in such disputes.
15. Governing Law
These Terms, and any dispute arising out of or relating to them, shall be governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict of law principles, except where applicable law in your jurisdiction requires otherwise.
16. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
16.1 Informal Resolution
Before initiating formal dispute resolution, you agree to first contact us with a written description of your dispute, including the nature of the claim and the relief sought. The Parties shall attempt to resolve the dispute informally for at least thirty (30) days from receipt of the written notice, including at least one telephonic or video conference.
16.2 Binding Arbitration
If the dispute is not resolved informally within thirty (30) days, all claims and disputes arising out of or relating to these Terms or your use of the Platform ("Disputes") shall be resolved by binding arbitration, except where either Party seeks injunctive or equitable relief for the protection of intellectual property rights.
16.3 Arbitration Procedures
1. Arbitration shall be administered by the Costa Rican Chamber of Commerce under its applicable rules.
2. Arbitration shall be conducted in English.
3. The seat of arbitration shall be San José, Costa Rica.
4. A single arbitrator with relevant experience in technology, digital assets, or gaming law shall be appointed in accordance with the applicable rules.
5. The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction.
6. Arbitration proceedings shall be confidential unless disclosure is required by law.
7. Arbitration fees shall be shared equally unless otherwise awarded by the arbitrator.
16.4 Waiver of Jury Trial
THE PARTIES HEREBY WAIVE THEIR RIGHTS TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.
16.5 Exceptions
Notwithstanding the foregoing, either Party may seek emergency injunctive or equitable relief before a court in San José, Costa Rica to protect rights that would be irreparably harmed absent immediate relief.
17. Class Action Waiver
ALL DISPUTES MUST BE BROUGHT AND RESOLVED ON AN INDIVIDUAL BASIS. YOU MAY NOT BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ARBITRATION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
If this class action waiver is found to be unenforceable as to a particular claim or request for relief, the Parties agree that such claim or request for relief shall be severed and proceeded with in a court of competent jurisdiction rather than in arbitration.
18. Amendments
18.1 Right to Amend
We may modify these Terms at any time by posting the updated version on the Platform. The "Last Updated" date at the top of these Terms will be revised accordingly.
18.2 Notice of Changes
For material changes that affect individual User rights, we will make reasonable efforts to provide notice through the Platform, email, or other communication channels. Any changes will be effective immediately for new Users and after thirty (30) days for existing Users. However, you are responsible for reviewing these Terms periodically.
18.3 Acceptance
Your continued access to or use of the Platform after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must cease using the Platform.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any contest-specific rules, constitute the entire agreement between you and Degenku regarding the Platform and supersede all prior agreements.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect.
19.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
19.4 No Waiver
No failure or delay by us in exercising any right or remedy shall constitute a waiver of that right or remedy. A waiver of any right on one occasion does not constitute a waiver on any subsequent occasion.
19.5 No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Degenku.
19.6 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, pandemic, blockchain network failures, protocol-level changes, 51% attacks, chain reorganizations, smart contract exploits, regulatory actions, or infrastructure failures.
19.7 Notices
1. We may provide notices to you through the Platform, email, Telegram, X (formerly Twitter), or other communication channels.
2. Official Platform announcements will be made through our official channels. You are responsible for monitoring these channels.
3. Notices to us must be sent through our official support channels at support@moku.gg.
19.8 Language
These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
19.9 Third-Party Rights
These Terms do not create any third-party beneficiary rights.
19.10 Survival
Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to intellectual property rights, indemnification obligations, limitation of liability, dispute resolution, and governing law.
19.11 Taxes
You are solely responsible for determining, reporting, and paying all applicable taxes arising from your use of the Platform, including taxes on Contest winnings, Card sales, and Digital Asset transactions. The Platform does not provide tax advice, calculate tax obligations, or issue tax documentation.
19.12 Confidentiality
If you receive information about another User through the Platform, you must keep such information confidential and use it only in connection with the Platform and in accordance with applicable law.
19.13 Recordings
You agree that we may record communications between you and the Platform, including support interactions, for compliance, quality assurance, and dispute resolution purposes.

21. Definitions
"Card" means a non-fungible token minted on the Ronin blockchain that represents an NFT Agent within the Grand Arena ecosystem. Cards are the Digital Assets that Users collect, trade, and enter into Contests.
"Contest" means any daily fantasy competition offered on the Platform, including paid and Free-to-Play formats.
"Digital Assets" means any digitally represented value stored and transferred via distributed ledger technology, including cryptocurrencies, tokens, and NFTs on the Ronin blockchain.
"Entry Fee" means the amount of Digital Assets required to enter a paid Contest.
"Free-to-Play Contest" means a Contest that does not require an Entry Fee.
"Marketplace" means the Platform feature enabling Users to buy, sell, and trade Cards.
"NFT Agent" means an AI-trained game agent with unique performance characteristics developed through reinforcement learning. NFT Agents are distinct on-chain assets that exist independently of Cards. Users may own NFT Agents directly, and may also interact with NFT Agents through their Cards. Cards and NFT Agents are separate Digital Assets with independent ownership.
"Platform" means the Grand Arena digital interface, including the website, mobile application, and all associated smart contracts and systems through which Users access the Services.
"Platform IP" means all intellectual property owned or licensed by Degenku related to the Platform and Services, including AI models, reinforcement learning systems, source code, designs, and trademarks.
"Prize Pool" means the total amount of Digital Assets available for distribution to winners of a Contest, funded by Entry Fees less the Rake.
"Prohibited Jurisdiction" means any jurisdiction listed in Section 2.2 or otherwise designated by the Platform.
"Rake" means the percentage of a Contest's Prize Pool retained by the Platform as a service fee.
"Ronin" means the Ronin blockchain network.
"Services" means all tools, features, and offerings provided by the Platform, including Contests, the Marketplace, and Agent management.
"User Content" means any content, materials, or information submitted by a User to the Platform.
"Wallet" means the blockchain wallet connected by a User to access the Platform and Services.
"Wallet Credentials" means the private cryptographic keys, passwords, seed phrases, and other access credentials associated with a User's Wallet.
Annex A — Risk Factors
The following risk factors apply to participation in the Platform and interaction with Cards and Digital Assets. Not all risks are listed here, and Users are encouraged to consider these points carefully, seek clarification where needed, and exercise independent judgment.
A.1 Platform and Operational Risks
1. Platform Evolution: The Platform is subject to ongoing development. Cards and their associated NFT Agents may be enhanced, modified, or restructured, which could alter their function, availability, or relevance in gameplay.
2. Dependence on User Participation: The success and sustainability of the Platform depend on active User engagement. A significant decline in player activity could impact Contest quality, Marketplace liquidity, and the overall Platform experience.
3. Regulatory and Operational Oversight: The industry in which the Platform operates is new and experimental, and may be subject to changes in the developing regulatory landscape. Degenku may need to adapt or restructure its operations and Services as regulatory frameworks evolve. This could affect how Cards and the Platform are accessible in certain regions.
A.2 Technical and Network Risks
1. Smart Contract Risk: Smart contract failures or vulnerabilities can result in immediate and total loss of Digital Assets. No recovery may be possible.
2. Transaction Permanence: All blockchain transactions are permanent and irreversible once confirmed. The Platform cannot reverse, modify, or recover any transaction.
3. Network Infrastructure: The Ronin blockchain is a distributed network that Degenku neither owns nor has any technical tools to control. The viability of the Platform over time depends on the continued operation and security of the Ronin network.
4. Network Events: Events such as 51% attacks, chain reorganizations, consensus failures, or protocol-level changes may compromise Digital Asset records and affect the Platform.
5. Code and Software Bugs: The Platform may contain or introduce bugs or errors that could result in unexpected behaviors, including malfunctioning NFT Agents, disrupted Contests, or loss of Digital Assets.
6. Technical Failures: Any technical failure during Contest entry, Card minting, trading, or other operations may result in complete loss of the attempted transaction, loss of associated fees, unrecoverable gas costs, or permanent loss of funds.
7. Emerging Technologies: Future advancements (e.g., quantum computing) or unforeseen technological shifts could affect the security model or operational viability of the Platform. Adaptation is not guaranteed.
A.3 AI and Reinforcement Learning Risks
1. Model Unpredictability: NFT Agent performance is determined by reinforcement learning models that may behave unpredictably. Performance may vary based on updates, retraining, environmental changes, or interactions with other Agents.
2. Retraining and Rebalancing: Degenku may update, retrain, or modify AI systems at any time. Such changes may materially affect NFT Agent performance and, consequently, Contest outcomes and Card value.
3. Probabilistic Nature: AI systems are inherently probabilistic. Identical NFT Agents may perform differently across separate Contests due to the nature of the underlying algorithms.
A.4 Financial and Market Risks
1. Value Volatility: The value of Cards and Digital Assets may fluctuate significantly and unpredictably, and could drop to zero.
2. Liquidity Risk: The ability to trade or sell Cards depends on available Marketplace liquidity and market conditions. Market depth can change rapidly, leading to substantial slippage or inability to execute trades at desired prices.
3. Total Loss: Participation in Contests, Card minting, and Marketplace trading carries substantial risk of total loss of funds invested.
4. No Guaranteed Returns: There is no guarantee or assurance that Cards will retain any market value or in-game functionality.
A.5 Regulatory and Legal Risks
1. Regulatory Uncertainty: Laws and regulations governing digital assets, daily fantasy competitions, and blockchain platforms vary by jurisdiction and may change without notice. Activities legal in one jurisdiction may be illegal in others.
2. Enforcement Actions: Users may face criminal penalties, civil monetary penalties, asset freezes, trading suspensions, or regulatory investigations in connection with their use of the Platform.
3. Tax Risks: Tax regulations vary by jurisdiction and change frequently. Tax treatment of Cards, Contest winnings, and Digital Asset transactions may be unclear. Multiple jurisdictions may claim taxing rights. Users are solely responsible for all tax compliance.
4. Game Forks and Version Conflicts: Significant updates or changes to the Ronin network may lead to multiple versions of the network (forks), which may affect access, compatibility, or continuity of Cards across different versions.
A.6 Security Risks
1. Wallet Compromise: Private key compromise, phishing attacks, malware infections, social engineering attacks, hardware wallet failures, or backup restoration failures may result in permanent loss of Cards and Digital Assets.
2. Platform Security: Hackers or other malicious actors may attempt to compromise the Platform, steal Digital Assets, or exploit vulnerabilities. While Degenku implements security measures, absolute protection cannot be guaranteed.
3. Loss of Access Credentials: The loss of Wallet Credentials may result in permanent loss of all associated Cards and Digital Assets. Degenku cannot retrieve or recover access in such cases.
